End-User License Agreement

This End-User License Agreement (“EULA”) governs your use of the ServGround platform. Please read it carefully before creating an account or using our services. By accessing or using ServGround, you agree to be bound by this Agreement. This EULA should be read in conjunction with our Terms of Service and Privacy Policy.
1. Agreement to Terms
This End-User License Agreement ("EULA" or "Agreement") is a binding legal agreement between you ("User," "you," or "your") and Beansoft Technology Services LLC, doing business as ServGround ("Licensor," "ServGround," "we," "us," or "our"). By creating an account, accessing, or using the ServGround platform ("Software"), you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree, you must not access or use the Software. This EULA supplements our Terms of Service and Privacy Policy. In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall prevail.
2. Definitions
2.1 "Software"
The ServGround cloud-based platform, including all web applications, APIs, mobile interfaces (PWA), AI-powered features, client portal, merchant public websites, and any updates, patches, or new versions made available by ServGround.
2.2 "Workspace"
An isolated business environment within the Software that contains all data, team members, client records, documents, and configurations for a single merchant business.
2.3 "Content"
All data, text, images, documents, files, and other materials uploaded, created, generated, or transmitted through the Software by you or your authorized users.
2.4 "AI Features"
Artificial intelligence capabilities including the AI Website Agent, AI Voice Receptionist, AI content generation, AI receipt extraction, SMS auto-reply, and any other AI-powered functionality within the Software.
2.5 "Authorized User"
Any individual granted access to your Workspace, including workspace owners, team members (with assigned roles), and clients with portal access.
3. License Grant
3.1 Grant of License
Subject to your compliance with this EULA and payment of applicable subscription fees, ServGround grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software during the term of your subscription solely for your internal business operations.
3.2 Scope
This license permits you to: access the Software via web browser on any device; create and manage one Workspace per subscription (additional Workspaces require separate subscriptions); invite team members up to the seat limit of your subscription plan; use AI Features within the usage limits of your plan; generate, store, and manage business documents (proposals, contracts, invoices, reports); operate a merchant public website through the Software; and grant clients access to the client portal for document viewing and service request submission.
3.3 Reservation of Rights
All rights not expressly granted in this EULA are reserved by ServGround. The Software is licensed, not sold. ServGround retains all ownership, intellectual property rights, title, and interest in and to the Software, including all modifications, improvements, and derivative works.
4. License Restrictions
You shall not, and shall not permit any third party to: (a) copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software; (b) sublicense, lease, rent, loan, sell, resell, or otherwise distribute the Software or access thereto to any third party; (c) circumvent, disable, or interfere with any security, authentication, rate limiting, or usage restriction features of the Software; (d) use the Software to develop a competing product or service; (e) use automated scripts, bots, or scrapers to access the Software except through approved APIs; (f) remove, alter, or obscure any proprietary notices, labels, or marks on the Software; (g) use the Software for any unlawful purpose, including but not limited to processing payments for illegal goods or services; (h) exceed the usage limits, seat limits, or storage limits of your subscription plan; (i) share account credentials with unauthorized individuals or allow multiple users to access a single user account; (j) use AI Features to generate content that is harmful, misleading, defamatory, or violates third-party rights; or (k) upload executable files, malware, viruses, or other harmful code to the Software.
5. AI Features — Special Terms
5.1 AI-Generated Content
The Software incorporates AI-powered features that generate text, analyze images, handle voice calls, and respond to chat and SMS messages. All AI-generated content is provided on an "as-is" basis. You acknowledge that AI output may contain errors, inaccuracies, or omissions and you are solely responsible for reviewing, verifying, editing, and approving all AI-generated content before use.
5.2 AI Data Processing
To deliver AI Features, certain data (including conversation context, knowledge base content, and uploaded images) may be processed by third-party AI providers, specifically OpenAI, Google AI, and Vapi. These providers process data according to their respective terms and privacy policies. ServGround does not use your data to train proprietary AI models. You may disable AI Features at any time through your workspace settings.
5.3 Usage Limits
AI Features are subject to monthly usage limits based on your subscription plan, including voice minutes, chat messages, and SMS messages. When limits are exhausted, certain AI features may be temporarily suspended or degraded (e.g., displaying your business phone instead of the AI phone number) until the next billing cycle.
5.4 No Professional Advice
AI Features do not constitute legal, financial, medical, tax, or other professional advice. You should not rely on AI-generated content as a substitute for professional counsel. The AI Voice Receptionist and Website Agent represent your business — you bear full responsibility for their interactions with your clients.
5.5 Voice & SMS Compliance
If you enable AI Voice Receptionist or SMS auto-reply features, you are responsible for compliance with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and state-specific call recording consent laws (including two-party consent jurisdictions). ServGround provides compliance tools (consent checkboxes, opt-out mechanisms) but ultimate compliance responsibility rests with you.
6. Ownership & Intellectual Property
6.1 Your Content
You retain all ownership rights to Content you upload, create, or input into the Software. By using the Software, you grant ServGround a limited, non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, and transmit your Content solely as necessary to provide, maintain, and improve the Software and its features.
6.2 ServGround IP
The Software — including its source code, design, user interface, documentation, APIs, algorithms, AI models and prompts, and all related intellectual property — is the exclusive property of Beansoft Technology Services LLC and is protected by copyright, trademark, trade secret, and other intellectual property laws. The ServGround name, logo, and all related marks are trademarks of Beansoft Technology Services LLC.
6.3 Feedback
If you provide feedback, suggestions, ideas, or recommendations regarding the Software ("Feedback"), you grant ServGround a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Feedback into the Software without any obligation to you.
6.4 Aggregated Data
ServGround may collect and use aggregated, anonymized, or de-identified data derived from your use of the Software for analytics, benchmarking, product improvement, and industry reporting purposes. Such data will not identify you or your clients individually.
7. Subscription & Payment Terms
7.1 Subscription Plans
Access to the Software requires an active subscription. Plans (Starter, Professional, Business, and Premier) differ in features, usage limits, seat counts, and storage allocations. Current plan details and pricing are available on our pricing page. A free trial may be offered to new users without requiring a credit card.
7.2 Billing
Subscriptions are billed in advance on a monthly or annual basis through Stripe. By subscribing, you authorize recurring charges to your payment method. Prices are in US Dollars and are subject to change with at least 30 days' notice.
7.3 Platform Fees
A platform fee (currently 1%) is retained by ServGround on each client payment processed through the Software. Standard payment processing fees (set by Stripe) may be passed through to the payer as disclosed at checkout.
7.4 Cancellation & Refunds
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for unused portions of a billing period unless required by applicable law.
8. Data Protection & Security
8.1 Security Measures
ServGround implements industry-standard security measures including: encryption in transit (TLS/SSL) and at rest; row-level security (RLS) for complete workspace data isolation; JWT-based authentication with secure token management; private storage buckets with time-limited signed URL access; rate limiting and abuse prevention on all API endpoints; and spam protection via Cloudflare Turnstile on authentication and public forms.
8.2 Multi-Tenant Architecture
The Software is a multi-tenant platform where each Workspace is strictly isolated at the database level through row-level security policies. No merchant can access, view, or modify another merchant's data through the Software.
8.3 Data Backup & Recovery
ServGround relies on its infrastructure providers (Supabase, Vercel) for data backup and disaster recovery. While we make reasonable efforts to protect data availability, we do not guarantee against data loss. You are responsible for maintaining your own backups of critical business data.
8.4 Breach Notification
In the event of a data breach affecting your personal information, ServGround will notify affected users and relevant authorities as required by applicable law in a timely manner.
9. Term & Termination
9.1 Term
This EULA is effective from the date you first access or use the Software and continues until terminated by either party.
9.2 Termination by You
You may terminate this EULA at any time by deleting your Workspace through account settings. Workspace deletion initiates a 30-day recovery period during which you may restore your data. After the recovery period, all data is permanently deleted. Subscription cancellation does not automatically delete your Workspace.
9.3 Termination by ServGround
ServGround may suspend or terminate your license immediately upon written notice if: you breach any material term of this EULA; your account is used for fraudulent or illegal activity; you fail to pay subscription fees after notice and a reasonable cure period; a legal or regulatory obligation requires termination; or we discontinue the Software with reasonable advance notice.
9.4 Effect of Termination
Upon termination: your license to use the Software ceases immediately; you must cease all use of the Software; your data will be retained for the applicable recovery period (30 days) and then permanently deleted; any outstanding fees become immediately due and payable; and Sections 4, 6, 10, 11, 12, 13, and 14 shall survive termination.
10. Disclaimers of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVGROUND DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, SERVGROUND DOES NOT WARRANT THAT: (A) THE SOFTWARE WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SOFTWARE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) AI-GENERATED CONTENT WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE OR FREE FROM ERRORS; OR (E) ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED. YOU ASSUME ALL RISK FOR YOUR USE OF THE SOFTWARE.
11. Limitation of Liability
11.1 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVGROUND'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU PAID TO SERVGROUND IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
11.2 Exclusion of Damages
IN NO EVENT SHALL SERVGROUND, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY: INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, OR GOODWILL; LOSS OF DATA OR CORRUPTION OF DATA; COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; OR INTERRUPTION OF BUSINESS — REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF SERVGROUND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Basis of the Bargain
The disclaimers, exclusions, and limitations in this EULA form an essential basis of the bargain between you and ServGround. The Software would not be provided to you without these limitations.
12. Indemnification
You agree to indemnify, defend, and hold harmless Beansoft Technology Services LLC (d/b/a ServGround), its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of this EULA or any applicable law or regulation; (c) your Content or data processed through the Software; (d) your interactions with your clients, including disputes arising from documents, payments, or services facilitated through the Software; (e) your use of AI Features, including any AI-generated content distributed to third parties; (f) your SMS, email, voice, or other communications sent through the Software; and (g) any third-party claim that your Content infringes or misappropriates their intellectual property rights.
13. Dispute Resolution
13.1 Governing Law
This EULA shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.
13.2 Informal Resolution
Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting ServGround. We will make good-faith efforts to resolve the dispute within thirty (30) days.
13.3 Binding Arbitration
Any dispute not resolved through informal negotiation shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in North Carolina. The arbitrator's award shall be final, binding, and enforceable in any court of competent jurisdiction.
13.4 Class Action Waiver
YOU AND SERVGROUND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
13.5 Exceptions
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm.
14. General Provisions
14.1 Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and ServGround regarding the Software and supersedes all prior agreements, understandings, and communications, whether written or oral.
14.2 Severability
If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
14.3 Waiver
The failure of ServGround to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. A waiver of any provision shall be effective only if in writing and signed by ServGround.
14.4 Assignment
You may not assign or transfer this EULA or your rights hereunder without the prior written consent of ServGround. ServGround may assign this EULA without restriction in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
14.5 Force Majeure
ServGround shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, pandemics, war, terrorism, government actions, internet or telecommunications disruptions, or third-party service outages.
14.6 Notices
ServGround may provide notices to you via email to the address associated with your account, through the Software interface, or by posting on our website. You may provide notice to ServGround by emailing info@mylegacyai.ai.
14.7 Updates to This EULA
ServGround reserves the right to modify this EULA at any time. We will provide at least thirty (30) days' notice of material changes via email or through the Software. Your continued use of the Software after the effective date of any changes constitutes acceptance of the revised EULA. If you do not agree with the changes, you must stop using the Software and terminate your account.
