Terms of Service

Please read these Terms of Service carefully before using ServGround. These terms govern your access to and use of our platform, including all features, services, and content. By creating an account or using the platform, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using ServGround ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and Beansoft Technology Services LLC, doing business as ServGround ("ServGround," "we," "us," or "our"). They apply to all users, including merchants (workspace owners and team members), their clients who access the client portal, and visitors to merchant public websites.

2. Description of Service

ServGround is a cloud-based business management platform designed for service professionals. The Platform provides tools for client and contact management; service request intake (via web forms, client portal, AI voice receptionist, SMS, and manual entry); proposal and contract creation with electronic signatures; invoicing and payment collection via Stripe; project management and scheduling; report generation and publishing; a self-service client portal; auto-generated merchant public websites with custom domain support; AI-powered features including website chat agent, voice receptionist, receipt extraction, and content generation; document upload and storage; financial tracking (income, expenses, payouts); and automated email communications. Features may vary by subscription plan.

3. User Accounts

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the Platform.

3.2 Registration

You must provide accurate, complete, and current information when creating an account. You may register using email and password or Google OAuth.

3.3 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. We will not be liable for any loss arising from your failure to protect your account.

3.4 Workspaces

Each merchant operates within a "workspace" — an isolated business environment containing all data, team members, and client records. Workspace owners are responsible for managing team member access and permissions. Users may belong to multiple workspaces.

4. Subscription & Billing

4.1 Free Trial

New accounts receive a free trial with access to most Platform features. No credit card is required during the trial. Some features (such as AI voice receptionist phone provisioning) may be excluded from the trial.

4.2 Plans & Pricing

ServGround offers tiered subscription plans (Starter, Professional, Business, and Premier) billed monthly or annually via Stripe. Current pricing is displayed on our pricing page. Prices are in US Dollars and may be updated with at least 30 days' notice. Taxes may apply based on your jurisdiction.

4.3 Renewals & Changes

Subscriptions automatically renew unless cancelled before the renewal date. You may upgrade at any time (prorated billing applies). Downgrades take effect at the end of the current billing cycle and may result in loss of access to plan-specific features.

4.4 Cancellation

You may cancel your subscription at any time through account settings. Cancellation takes effect at the end of the current paid period. No refunds are provided for partial billing periods unless required by applicable law.

4.5 Non-Payment

If payment fails, your account may be placed in a "past due" state. Continued non-payment may result in account suspension or termination after notice.

5. Payment Processing

5.1 Stripe

All payment processing is handled by Stripe, Inc. By using ServGround’s payment features, you also agree to Stripe’s Terms of Service and Connected Account Agreement (available at stripe.com/legal).

5.2 Stripe Connect

Merchants who collect payments through ServGround use Stripe Connect. You will create a Stripe Connected Account linked to your workspace. Stripe performs identity verification and compliance checks as required by law. Funds are deposited per Stripe’s payout schedule.

5.3 Fees

A platform fee (currently 1%) is retained by ServGround on each transaction processed. Standard Stripe processing fees apply and may be passed through to the payer as disclosed at checkout. Instant payout fees (currently 1%, set by Stripe) apply if you opt in. Fee rates are disclosed in your payment settings and may change with 30 days’ notice.

5.4 Refunds & Disputes

Merchants are responsible for their own refund policies with their clients. ServGround does not arbitrate disputes between merchants and their clients. Stripe’s standard dispute and chargeback processes apply. Platform fees are non-refundable once a transaction is processed.

6. Acceptable Use

6.1 Permitted Use

The Platform is intended for legitimate service businesses to manage real business operations, communicate with real clients, and process real transactions.

6.2 Prohibited Activities

You agree NOT to: use the Platform for any unlawful purpose; impersonate any person or entity; upload harmful, abusive, defamatory, or obscene content; attempt to gain unauthorized access to any portion of the Platform; interfere with or disrupt the service; use automated means (bots, scrapers) without permission; send unsolicited communications (spam); upload viruses, malware, or harmful code; use AI features to generate harmful, deceptive, or illegal content; exceed rate limits or abuse API endpoints; resell or redistribute access without authorization; process payments for illegal goods or services; circumvent security measures or usage limits; or upload executable files (.exe, .bat, .cmd, .sh, .ps1, .msi, .dll, .scr, .com).

7. AI-Powered Features

7.1 AI Services

ServGround incorporates artificial intelligence features including: an AI Website Agent (automated chat on merchant websites), an AI Voice Receptionist (voice-powered phone assistant for inbound calls), AI content generation (proposals, contracts, business content), AI receipt extraction (OCR for expense receipts), and SMS auto-reply (AI-powered text responses).

7.2 Limitations

AI-generated content is provided "as-is" and may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving all AI-generated content. AI features are not a substitute for professional legal, financial, medical, or other expert advice. The AI voice receptionist and chat agent represent your business — you are responsible for their output.

7.3 Data Processing

Your business data, knowledge base content, and interactions may be processed by third-party AI providers (OpenAI, Google) to deliver AI features. These providers process data per their own terms. We do not use your data to train our own AI models. Voice calls may be transcribed and stored for operational purposes. You may disable AI features at any time.

7.4 Usage Limits

AI features are subject to monthly usage limits based on your subscription plan (voice minutes, chat messages). Exceeding limits may result in temporary suspension of AI features until the next billing cycle or automatic fallback behavior (e.g., displaying your business phone instead of the AI number).

8. SMS, Voice & Email Communications

8.1 SMS Compliance

By enabling SMS features, you agree to comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and CTIA guidelines. You are responsible for obtaining proper consent from recipients. ServGround provides consent capture mechanisms (TCPA-compliant opt-in checkboxes), but compliance remains your responsibility. Messages must include opt-out instructions. Standard message and data rates apply to recipients.

8.2 Voice Calls

Inbound calls handled by the AI voice receptionist may be recorded, transcribed, and stored. You are responsible for complying with applicable call recording laws, including two-party consent requirements where applicable.

8.3 Email

By using the Platform, you consent to receive transactional emails related to your account, documents, and operations. These are not marketing emails and cannot be opted out of while maintaining an active account.

9. Data & Storage

9.1 File Uploads

You may upload files subject to size limits (10 MB for service request documents, 25 MB for general documents, 50 MB for report attachments), type restrictions (executable files are always blocked), and storage limits based on your plan (250 MB to 15 GB). Maximum 10 documents per service request.

9.2 Ownership

Your data belongs to you. We act as a data processor on your behalf. You may request data export or deletion at any time, subject to applicable law and retention requirements.

9.3 Retention

Active account data is retained for the duration of your subscription. Deleted workspaces enter a 30-day recovery period, after which data is permanently deleted. Notifications are automatically cleaned up (30 days for read, 90 days for unread). Certain data may be retained longer as required by law (financial records, tax compliance).

9.4 Security

We implement industry-standard security: row-level security (RLS) on all database tables for workspace isolation, encryption in transit (TLS/HTTPS), private storage buckets with signed URL access (1-hour expiry), JWT-based authentication, spam protection via Cloudflare Turnstile, and rate limiting on all API endpoints.

10. Intellectual Property

The Platform — including its design, code, features, and documentation — is the intellectual property of Beansoft Technology Services LLC and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of all content you upload or create. By uploading content, you grant ServGround a limited, non-exclusive, royalty-free license to host, store, display, and transmit your content solely for providing the Service. If you provide feedback or suggestions, we may use them without obligation to you.

11. Client Portal & Merchant Websites

Merchants may grant clients access to a self-service portal (authenticated via passwordless magic links) and operate an auto-generated public website with optional custom domain. Merchants are responsible for the accuracy of information presented to clients, managing portal access, complying with privacy laws regarding client data, and establishing their own terms of service and privacy policies with their clients.

12. Third-Party Services

ServGround integrates with third-party services, each governed by their own terms: Stripe (payment processing), Supabase (database and authentication), Vercel (hosting), Resend (email delivery), OpenAI (AI generation), Google AI (AI fallback), Vapi (voice AI), Twilio (phone numbers and SMS), and Cloudflare (spam protection). We are not responsible for the availability or practices of third-party services. Your use of them is at your own risk.

13. Termination

13.1 By You

You may delete your workspace at any time. Deletion immediately cancels your Stripe subscription, initiates a 30-day recovery period, and removes team member access. Data is permanently deleted after the recovery period.

13.2 By Us

We may suspend or terminate your account if you violate these Terms or applicable law, your account is used for fraud or illegal activity, you fail to pay after notice, we are required to by law, or we discontinue the Service with reasonable notice.

13.3 Effect

Upon termination, your right to use the Service ceases immediately. Data may be deleted after the applicable retention period. Provisions that should survive termination (liability, indemnification, dispute resolution) will survive.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure; that results will be accurate or reliable; or that AI-generated content will be suitable for any purpose. You are solely responsible for ensuring your use complies with applicable laws, including licensing, tax, consumer protection, privacy, and telemarketing regulations.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVGROUND’S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO SERVGROUND IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). IN NO EVENT SHALL SERVGROUND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. These limitations apply regardless of legal theory (contract, tort, strict liability), even if we have been advised of the possibility of such damages.

16. Indemnification

You agree to indemnify, defend, and hold harmless Beansoft Technology Services LLC (d/b/a ServGround), its officers, directors, members, employees, and affiliates from all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from: your use of the Service; your violation of these Terms or any law; your content or data; any dispute with your clients; your use of AI features and resulting content; and your SMS, email, or voice communications sent through the Platform.

17. Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

17.2 Informal Resolution

Before formal proceedings, you agree to attempt informal resolution by contacting us. We will attempt to resolve disputes within 30 days.

17.3 Arbitration

Unresolved disputes shall be settled by binding arbitration under AAA Commercial Arbitration Rules in North Carolina. The arbitrator’s decision is final.

17.4 Class Action Waiver

YOU AND SERVGROUND AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

18. General Provisions

These Terms and the Privacy Policy constitute the entire agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign without restriction. We are not liable for failures due to force majeure (natural disasters, pandemics, war, government actions, internet disruptions, third-party outages). We may modify these Terms with at least 30 days’ notice for material changes. Continued use after changes constitutes acceptance.
